The terms and conditions that apply when you use the Syntera Studio website or engage our services.

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Syntera Studio website or our associated software development services (the "Service") operated by Syntera Studio ("us", "we", or "our").

1. Acceptance of Terms

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, clients and others who access or use the Service.

By using our website, contacting us through our forms, or engaging Syntera Studio for project work, you confirm that you have the authority to act on behalf of yourself or the business you represent and that you agree to these Terms.

2. Services Rendered

Syntera Studio provides custom software development, website development, and AI automation services. The specific scope of work, timeline, and pricing for any given project will be defined in a separate binding statement of work (SOW) or master services agreement (MSA) signed by both parties.

Unless otherwise stated in writing, project estimates, delivery windows, and feature lists are based on the requirements known at the time of scoping. Any signed proposal, invoice, SOW, or MSA will control where it conflicts with these general Terms.

3. Intellectual Property

Upon full payment for completed services under the applicable SOW, you will retain intellectual property rights to the final deliverables as outlined in your specific agreement, excluding any pre-existing background technology or open-source libraries used.

Syntera Studio retains ownership of its pre-existing tools, templates, frameworks, internal processes, reusable code, and general know-how. Open-source components and third-party tools remain subject to their own license terms.

4. Client Responsibilities

To support delivery, you agree to provide accurate information, timely feedback, content, approvals, credentials, and access reasonably required for the work. Delays in approvals or missing inputs may affect timelines, milestones, or launch dates.

You are responsible for ensuring that the materials you provide, including text, media, branding, data, and third-party account access, do not infringe the rights of others and may lawfully be used for the project.

5. Fees and Payment

Fees, billing schedules, deposits, milestones, and payment terms will be set out in the applicable proposal, invoice, SOW, or MSA. Unless otherwise agreed in writing, invoices are due according to the payment terms shown on the invoice.

We may pause work, postpone delivery, or delay transfer of final files if invoices remain unpaid beyond the stated due date, subject to the governing agreement and applicable law.

6. Revisions and Scope Changes

Project pricing is based on the agreed scope. Requests that materially expand the number of pages, integrations, automations, revisions, or deliverables may require additional fees, a revised timeline, or a separate agreement.

We will make reasonable efforts to identify out-of-scope requests early so both parties can review and approve any changes before extra work begins.

7. Acceptable Use of the Website

You agree not to misuse the Syntera Studio website, interfere with its operation, attempt unauthorized access, upload malicious code, scrape protected materials in violation of applicable law, or use the website in a way that could harm us, our systems, or other users.

We may suspend or restrict access if we reasonably believe activity is abusive, fraudulent, unlawful, or poses a security risk.

8. Third-Party Services

Deliverables may depend on third-party services such as hosting providers, domain registrars, analytics tools, payment processors, APIs, automation platforms, plugins, or fonts. Those services are governed by their own terms, availability, pricing, and privacy practices.

Syntera Studio is not responsible for outages, account restrictions, pricing changes, policy updates, or discontinued features introduced by third-party providers outside our control.

9. Confidentiality

We will treat non-public business information shared with us as confidential and will use it only as reasonably necessary to provide the requested services, unless disclosure is required by law or the information becomes public through no fault of our own.

You agree to treat our non-public proposals, pricing, technical recommendations, methodologies, and internal materials as confidential unless we agree otherwise in writing.

10. Disclaimer of Warranties

Unless expressly stated in a signed agreement, the website and services are provided on an "as is" and "as available" basis. We do not guarantee uninterrupted availability, error-free performance, specific search rankings, or particular commercial outcomes such as lead volume, revenue, or conversion improvements.

Any project schedules, growth expectations, or performance goals discussed during planning are estimates unless they are clearly stated as binding commitments in writing.

11. Limitation of Liability

In no event shall Syntera Studio, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

To the maximum extent permitted by law, Syntera Studio's aggregate liability arising out of or related to the website or services will not exceed the amount paid by you to Syntera Studio for the specific services giving rise to the claim during the twelve months preceding the event.

12. Termination

Either party may end a service relationship in accordance with the applicable SOW, MSA, or written agreement. Upon termination, you remain responsible for payment of completed work, approved work in progress, and any non-cancelable third-party costs incurred on your behalf.

After termination, access to staging environments, subscriptions, or project tools owned by Syntera Studio may be revoked unless transfer arrangements were expressly included in the engagement.

13. Changes to These Terms

We may update these Terms from time to time to reflect service, operational, or legal changes. The updated version will be posted on this page with a revised last-updated date. Continued use of the website after changes become effective constitutes acceptance of the updated Terms.
